著作權歸屬涉及與公司和員工間屬委任或僱傭關係應採實質判斷(台灣)

智慧財產法院於民國106年3月16日作成105年度民著上更(一)字第2號民事判決(下稱本號判決)指出,著作權歸屬涉及與公司和員工間屬委任或僱傭關係應採實質判斷。

本號判決事實為A公司要求B公司提供報價及產品規格等資料以利報價。B提供受雇人C所繪製系爭組圖予A公司隨後附上報價,後B公司主張A公司以系爭組圖並稍作塗改後,作為與他公司合約之附件,而侵害B之著作財產權,故起訴請求賠償。

本號判決指出依著作權法第11條規定,受雇人於職務上完成之著作,除契約另有約定外,以該受雇人為著作人,著作財產權歸雇用人享有。而公司之員工與公司間究屬僱傭或委任關係,仍應依契約之實質關係以為斷,不得以公司員工職務之名稱逕予推認。本號判決進而指出C於B公司任職副理擔任設計工作,證稱系爭組圖是訂製品,通常是廠商下訂之後,依據廠商需要的尺寸,其才去設計整個機臺的結構大小,因老闆比較有經驗,設計時需要與B公司老闆討論,可見繪製系組圖須係依B公司客戶之需求為之,對於工作內容亦須與B公司法定代理人討論,並無獨立之裁量權或決策權,自為僱傭關係,系爭A組圖之著作人雖為C,應以雇用人即B公司為系爭組圖之著作財產權人。
