银行就购屋借款成立须办理相关征信及对保查核程序 不得仅凭他人持有本人之印章与印鉴证明 即认本人应就借款负表见代理授权人之责任(台湾)

台湾高等法院于民国106年1月11日作成105年上字第583号民事判决(下称本号判决)指出,银行就购屋借款成立须办理相关征信及对保查核程序,不得仅凭他人持有本人之印章、印鉴证明,即认本人应就借款负表见代理授权人之责任。

本号判决事实为被上诉人主张其仅交付印章,同意A将所购系争房地借名登记在伊名下,但并未同意或授权A持向上诉人办理系争借款。而借款契约上之签名均非伊所亲签,而系A以换贴自己照片方式,变造伊身分证复印件,冒用名义所伪造,故起诉确认系争借款不存在。原审为上诉人败诉之判决,上诉人不服提起上诉。

本号判决指出,按由自己之行为表示以代理权授与他人者,对于第三人应负授权人之责任,必须本人有表见之事实,足使第三人信该他人有代理权之情形存在,始足当之。被上诉人纵有提供印章、印鉴证明,惟仅自认同意出名授权A办理系争房地所有权登记,并无其他证据足以证明被上诉人亦有授权办理系争借款。况向银行办理购屋贷款乃属社会上一般人之重大金融交易行为,为求明确慎重及银行之内部风险管控,银行本应建立内部控制及稽核制度,因而设有各项授信作业及对保稽核程序。上诉人就系争借款成立既须办理相关征信及对保查核程序,自难仅凭A持有被上诉人之印章、印鉴证明,即认须由被上诉人本人就系争借款负表见代理授权人之责任等理由,驳回上诉人上诉。
