Impact of COVID-19 on Convening Shareholder Meetings – Update

As a follow up of Lee, Tsai & Partner’s previous article on the impact of COVID-19 on convening shareholder meetings, the Department of Commerce of the Ministry of Economic Affairs has issued a press release at 20:46 on May 20, 2021 that for non-public companies that are either no longer able to convene shareholder meetings or cannot apply to the competent authority for postponing shareholder meetings as a result of the pandemic, they may postpone the convening of shareholder meetings on their own without the Department of Commerce penalizing them pursuant to the Company Act.
